Last updated: September 15, 2026

These Terms are executed in Japanese, and translations into other languages are provided for reference only. If there is any discrepancy between a translation and the Japanese version, the Japanese version shall prevail.

Article 1 (General Provisions)

These Terms of Service (these “Terms”) set forth the conditions for use of the Local service (the “Service”) provided by HAVU LLC (the “Company”).

Users of the Service (“Users”) shall use the Service only after agreeing to these Terms.

Article 2 (Definitions)

The terms used in these Terms are defined as follows.

  1. “Content” means all information, text, images, videos, audio, designs, and other materials provided on the Service.
  2. “User Information” means information registered by a User in connection with the use of the Service, the User's usage history, and similar information.
  3. “Listed Restaurant” means a restaurant or other establishment whose information is published on the Service.
  4. “Posted Content” means reviews, ratings, photos, information about restaurants (such as the name, location, and contact details), and other information posted to the Service by a User.

Article 3 (Account Registration)

Certain features of the Service require account registration. Users shall register true and accurate information.

An account may be used only by the User to whom it belongs and may not be transferred, lent, or shared with any third party. Users shall manage their accounts at their own responsibility, and any act performed through an account shall be deemed an act of that User.

Article 4 (Use by Minors)

If a minor uses the Service, they must first obtain the consent of a parent or other legal representative. When a minor uses the Service, they shall be deemed to have obtained such consent.

Reservations and use involving the serving of alcoholic beverages are not available to persons under 20 years of age, as required by Japanese law.

Article 5 (Amendment of these Terms)

The Company may amend these Terms as necessary. Unless otherwise specified by the Company, amended Terms shall take effect when displayed on the Service.

If a User uses the Service after these Terms have been amended, the User shall be deemed to have agreed to the amended Terms. Users shall regularly review the latest version of these Terms.

Article 6 (Prohibited Acts)

In using the Service, Users shall not engage in any of the following acts:

  1. Acts that violate laws, regulations, or public order and morals;
  2. Acts that infringe the intellectual property rights, portrait rights, privacy rights, or other rights of the Company, Listed Restaurants, or third parties;
  3. Acts that interfere with the operation of the Service;
  4. Registering or posting false information (including posting reviews of restaurants the User has not actually visited, or ratings contrary to fact);
  5. Posting images the User did not take (including images obtained from other people's blogs or social media or from a Listed Restaurant's website);
  6. Posting photos in which a person can be identified without that person's consent;
  7. Posting, as an owner, employee, or other person connected with a restaurant, about one's own restaurant or a competitor;
  8. Posting in exchange for compensation without disclosing that fact;
  9. Posting personal information of the User or third parties, such as information shown on receipts;
  10. Making reservations with no intention of using them, no-shows, or any other act that causes unreasonable damage to Listed Restaurants;
  11. Sales, promotion, advertising, solicitation, or other for-profit activities (except with the Company's permission);
  12. Any other act the Company deems inappropriate.

Article 7 (Posted Content)

  1. Copyright in Posted Content belongs to the User who posted it.
  2. The User grants the Company a free, non-exclusive, worldwide right to use Posted Content (including reproduction, translation, adaptation, resizing and cropping, public transmission, and summarization by AI) to provide, operate, improve, and promote the Service, and permits the Company to sublicense this right to Listed Restaurants and other third parties. The User shall not exercise moral rights against the Company or anyone sublicensed by the Company.
  3. The User warrants that the User holds the rights necessary for the Posted Content, has obtained the consent of any person appearing in photos, and that the Posted Content does not infringe the rights of any third party. If a third party makes a claim against the Company regarding Posted Content, the User shall resolve it at the User's own responsibility and expense.
  4. The Company may review Posted Content and may choose not to publish all or part of it. If Posted Content violates or may violate these Terms, the Company may delete or hide it without prior notice.
  5. If a User deletes Posted Content, the Company will stop displaying it within a reasonable period. However, it may take some time for the deletion to be reflected in caches and AI-generated summaries.
  6. Factual information about restaurants provided by a User (such as the name, location, and contact details) may continue to be used by the Company as information about Listed Restaurants even after the Posted Content is deleted or the User withdraws.
  7. If the Company adopts a photo included in Posted Content as a photo of a Listed Restaurant, the User may not withdraw the license in paragraph 2 for that photo and agrees that the Company may continue to use it as a photo of the Listed Restaurant even after the Posted Content is deleted or the User withdraws. In that case, the Company does not display the name of the User who posted it. If the User individually requests its removal, the Company will respond to a reasonable extent.

Article 8 (Reservations and Payments)

A contract for the provision of food, beverages, experiences, or similar services based on a reservation made through the Service is formed between the User and the Listed Restaurant; the Company is not a party to that contract. The Company provides the venue for reservations and payments.

Cancellations and changes to reservations are governed by the cancellation policy set by each Listed Restaurant. The cancellation policy is displayed on the reservation screens and elsewhere.

Payments are processed through a payment service provider designated by the Company. Users shall make payments after also agreeing to the terms of the payment service provider.

Users agree in advance that an authorization hold for an amount equivalent to the cancellation fee may be placed on the credit card registered at the time of reservation prior to the scheduled visit date, and that cancellation fees under the applicable cancellation policy (including in cases of no-shows or absences) will be charged to that card.

Article 9 (Suspension or Modification of the Service)

The Company may temporarily suspend or modify the Service without prior notice to Users for any of the following reasons:

  1. Maintenance, inspection, or repair of the Service's systems;
  2. Force majeure such as natural disasters or other emergencies that make it difficult to provide the Service;
  3. Any other case in which the Company determines that suspension or modification is necessary.

If the Company terminates the entire Service, it will endeavor to notify Users in advance within a reasonable period.

Article 10 (Restriction of Use and Deletion of Accounts)

If a User violates these Terms, or the Company determines that a violation is likely, the Company may restrict the User's use of the Service or delete the User's account without prior notice. The Company shall bear no liability for any damage incurred by the User as a result.

Article 11 (Withdrawal)

Users may withdraw from the Service at any time through the procedures prescribed by the Service. The handling of account information after withdrawal is governed by the Privacy Policy.

If there are unsettled reservations, cancellation fees, or similar amounts at the time of withdrawal, the obligation to pay them does not lapse upon withdrawal. When a User withdraws, the User's Posted Content (including reviews, ratings, and photos) is deleted. However, the factual information about restaurants and the photos adopted as photos of Listed Restaurants described in Article 7, paragraphs 6 and 7, remain after withdrawal.

Article 12 (Exclusion of Anti-Social Forces)

Users represent and warrant that they are not, and have no relationship with, organized crime groups, members of organized crime groups, companies affiliated with organized crime groups, corporate racketeers, or other anti-social forces (collectively, “Anti-Social Forces”). If a User breaches this provision, the Company may suspend the User's use of the Service and delete the User's account without prior notice.

Article 13 (Disclaimers)

The Company makes no warranty as to the accuracy, completeness, or usefulness of the content of the Service. Except in cases of the Company's willful misconduct or gross negligence, the Company shall bear no liability for any damage incurred by Users through the use of the Service.

Information about Listed Restaurants (opening hours, prices, menus, etc.) is subject to change. The Company makes no warranty as to the accuracy, completeness, or currency of published information. Any dispute arising between a User and a Listed Restaurant shall be resolved between those parties, and the Company shall bear no liability for it.

Restaurant information on the Service includes information the Company created from publicly available information and posts by Users, and it may differ from the actual situation. People connected with a Listed Restaurant can ask the Company to correct or remove a listing through the listing correction and removal page.

Article 14 (Intellectual Property Rights)

All intellectual property rights relating to the Service belong to the Company or to parties that have licensed them to the Company. Nothing in these Terms transfers any such rights to Users.

Article 15 (Handling of Personal Information)

The Company handles Users' personal information appropriately in accordance with its separately established Privacy Policy.

Article 16 (Notices and Communications)

Notices and communications from the Company to Users shall be made by sending an email to the registered email address or by display on the Service, and shall be deemed to have reached the User upon such sending or display. Users shall promptly update their registered information whenever it changes.

Article 17 (Prohibition of Assignment of Rights and Obligations)

Users may not assign to any third party, or offer as security, all or part of their status under these Terms or their rights and obligations under these Terms without the Company's prior written consent.

If the Company transfers the business relating to the Service to a third party, the Company may, as part of that business transfer, assign its status under these Terms, its rights and obligations under these Terms, and User Information to the transferee, and Users hereby consent to such assignment in advance.

Article 18 (Severability)

Even if any provision of these Terms or part thereof is held invalid or unenforceable under applicable laws, the remaining provisions of these Terms shall continue in full force and effect.

Article 19 (Governing Law and Jurisdiction)

These Terms shall be governed by and construed in accordance with the laws of Japan. Any dispute arising in connection with the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court in the first instance.
