Last updated: July 17, 2026
These Terms are executed in Japanese, and translations into other languages are provided for reference only. If there is any discrepancy between a translation and the Japanese version, the Japanese version shall prevail.
Article 1 (General Provisions)
These Terms of Service (these “Terms”) set forth the rights and obligations between HAVU LLC (the “Company”) and any restaurant or other establishment that publishes its information on the Local service (the “Service”) provided by the Company and accepts reservations through it (a “Listed Restaurant”).
A Listed Restaurant shall use the Service only after agreeing to these Terms. Where the Company and a Listed Restaurant have entered into a separate individual agreement, the terms of that agreement shall prevail over these Terms.
Article 2 (Restaurant Accounts)
A restaurant wishing to be listed on the Service shall apply in the manner prescribed by the Company and obtain the Company's approval. The Company will review the application and determine whether to approve the listing. The Company is under no obligation to disclose its reasons if it does not grant approval.
A Listed Restaurant shall register true and accurate information and shall manage its restaurant account at its own responsibility. Any act performed through a restaurant account shall be deemed an act of the Listed Restaurant to which it belongs.
Article 3 (Listed Information)
A Listed Restaurant shall keep its restaurant information (business hours, prices, menu, cancellation policy, etc.) accurate and up to date, and shall promptly update it whenever it changes.
The Company may translate and display information registered by a Listed Restaurant in order to provide the Service in multiple languages.
Article 4 (Listing Fees and Payment)
Listing fees shall be as set forth in the proposal or application screen individually presented by the Company. Payment shall be made by bank transfer, credit card, or such other method as the Company designates.
A Listed Restaurant shall pay the listing fee by its due date. Listing fees already paid will not be refunded, except where the refund is due to a cause attributable to the Company.
Article 5 (Handling of Reservations)
A contract for the provision of food, beverages, experiences, or similar services based on a reservation made through the Service is formed between the User and the Listed Restaurant. The Listed Restaurant shall fulfill any reservation it accepts in good faith.
A Listed Restaurant shall set and display its cancellation policy for reservations (including the amount and conditions of any cancellation fee) in the manner prescribed by the Company. The cancellation policy must be reasonable in light of applicable laws and generally accepted social norms.
Article 6 (Payments and Payouts)
Payments made through the Service (including payment of cancellation fees) are processed using the services of the payment service provider designated by the Company (Stripe). A Listed Restaurant shall open an account with the payment service provider as required and agree to its terms of service.
Amounts collected are paid out to the Listed Restaurant through the payment service provider after deduction of the Company's prescribed fee. The fee rate and payout schedule shall be as set forth in an individual proposal or in the screens prescribed by the Company.
Where there is a dispute over whether a User visited or over the amount of a cancellation fee owed, the Company may determine the handling of the matter through its prescribed review process. A Listed Restaurant shall cooperate by providing information necessary for such review.
Article 7 (Handling of Reviews)
Whether a review posted by a User is published, and whether it is deleted, shall be determined by the Company based on its own standards. A Listed Restaurant that wishes to have a review deleted may apply in the manner prescribed by the Company, but the Company does not guarantee that any review will be deleted.
A Listed Restaurant shall not coerce Users into posting favorable reviews, solicit reviews in exchange for consideration, post self-authored reviews, or engage in any other act that undermines the reliability of reviews.
Article 8 (Prohibited Acts)
In using the Service, a Listed Restaurant shall not engage in any of the following acts:
- Acts that violate laws, regulations, or public order and morals
- Posting false or misleading information
- Acts that infringe the intellectual property rights, portrait rights, privacy rights, or other rights of the Company, Users, or third parties
- Using personal information of Users obtained through the Service for any purpose other than fulfilling reservations
- Acts that interfere with the operation of the Service
- Any other act the Company deems inappropriate
Article 9 (Intellectual Property Rights)
Intellectual property rights in information, photographs, and other content provided by a Listed Restaurant to the Service belong to the Listed Restaurant or the rightful rights holder. However, the Listed Restaurant grants the Company the right to use such content free of charge (including translation and adaptation) to the extent necessary to provide, operate, improve, and promote the Service.
A Listed Restaurant warrants that the content it provides does not infringe the rights of any third party.
Article 10 (Confidentiality)
A Listed Restaurant and the Company shall not disclose or leak to any third party any confidential information of the other party learned in connection with the use of the Service, without the other party's prior consent, except where disclosure is required by law.
Article 11 (Handling of Personal Information)
A Listed Restaurant shall use personal information of Users (name of the person making the reservation, contact details, etc.) obtained through the Service only to the extent necessary to fulfill reservations, and shall manage it appropriately in accordance with the Act on the Protection of Personal Information and other applicable laws.
Article 12 (Exclusion of Anti-Social Forces)
A Listed Restaurant represents and warrants that it and its officers are not, and have no relationship with, organized crime groups, members of organized crime groups, companies affiliated with organized crime groups, corporate racketeers, or other anti-social forces (collectively, “Anti-Social Forces”). If a Listed Restaurant breaches this provision, the Company may suspend the listing and terminate the agreement without prior notice.
Article 13 (Suspension of Listing and Termination of Agreement)
If a Listed Restaurant violates these Terms, or the Company determines that a violation is likely, the Company may, without prior notice, suspend the listing, restrict use of the restaurant account, or terminate the agreement. The Company shall bear no liability for any damage incurred by the Listed Restaurant as a result.
Article 14 (Cancellation)
A Listed Restaurant may cancel its listing agreement by notifying the Company in the manner it prescribes. The timing and conditions of cancellation shall be as set forth in the individual proposal or as agreed at the time of application. If any reservation remains unfulfilled at the time of cancellation, the Listed Restaurant shall either fulfill it in good faith or otherwise take appropriate measures so that no Users are disadvantaged.
Article 15 (Disclaimers)
The Company makes no warranty as to the accuracy, completeness, or usefulness of the content of the Service, nor that use of the Service will produce the results a Listed Restaurant expects (such as the number of reservations or visits).
Except in cases of the Company's willful misconduct or gross negligence, the Company shall bear no liability for any damage incurred by a Listed Restaurant through the use of the Service. Even where the Company is liable for damages, the amount of such liability shall not exceed the total listing fees paid to the Company by the Listed Restaurant during the twelve months preceding the occurrence of the damage.
Article 16 (Notices and Communications)
Notices and communications from the Company to a Listed Restaurant shall be made by sending an email to the registered email address or by display on the restaurant management screen, and shall be deemed to have reached the Listed Restaurant upon such sending or display.
Article 17 (Prohibition of Assignment of Rights and Obligations)
A Listed Restaurant may not assign to any third party, or offer as security, all or part of its status under these Terms or its rights and obligations under these Terms, without the Company's prior written consent.
Article 18 (Amendment of these Terms)
The Company may amend these Terms as necessary. Unless otherwise specified by the Company, amended Terms shall take effect when displayed on the Service. The Company will endeavor to notify Listed Restaurants in advance of any material change.
Article 19 (Severability)
Even if any provision of these Terms or part thereof is held invalid or unenforceable under applicable laws, the remaining provisions of these Terms shall continue in full force and effect.
Article 20 (Governing Law and Jurisdiction)
